Terms of Service
Last updated: 31 October 2026
1. About these Terms
1.1 These Terms of Service ("Terms") govern your use of the SigMonster service, website, Outlook add-in and related software (the "Service"), provided by SigMonster Pty. Ltd. (ABN 49 639 500 299, ACN 639 500 299) ("SigMonster", "we", "us", "our").
1.2 "Customer" means the individual or organisation that holds a SigMonster account or subscription. "Member" means an individual who belongs to an organisation's account. "You" means you as an individual user and, where relevant, the organisation you act for.
1.3 These Terms should be read together with our Privacy Policy and, for customer organisations, our Data Processing Agreement (DPA), which forms part of these Terms. If there is a conflict about personal information, the DPA prevails, then the Privacy Policy, then these Terms.
2. Eligibility
2.1 You must be of legal majority in the jurisdiction that applies to you, and able to enter into a binding contract in your own right.
2.2 If you accept these Terms on behalf of an organisation, you promise that you have the authority to bind that organisation. In that case, "Customer" refers to the organisation.
2.3 Compatible jurisdictions only. You must not sign up for or use the Service if the laws that apply to you would prevent these Terms, including clause 19 (Governing law), from applying to your use of the Service. By signing up, you confirm that nothing in the laws that apply to you is incompatible with these Terms.
3. Accounts
3.1 One account per person. Each account belongs to one individual human. You must not share accounts or create accounts for anyone else, except where an organisation administrator adds Members as described below.
3.2 An individual may sign up personally and later be added to one or more organisations. Their personal account stays theirs whether or not they belong to an organisation.
3.3 Deemed acceptance. Each individual accepts these Terms for their own account. When a Member is added to an organisation, the organisation's acceptance also applies to that Member's use of the Service on the organisation's behalf. By using the Service, a Member is taken to have accepted these Terms.
3.4 When a Member leaves an organisation, their personal account continues. Information the organisation provided about that Member stays under the organisation's control, subject to the Privacy Policy.
3.5 You are responsible for keeping your sign-in credentials secure and for all activity on your account.
4. Organisation responsibilities
4.1 The Service can set or deploy email signatures across an organisation's mailboxes, for example through the Outlook add-in. The organisation is responsible for making sure it has the authority, and any consent its Members require, to:
- (a) provide Members' information to SigMonster; and
- (b) apply signatures to Members' mailboxes.
4.2 The organisation is responsible for its administrators' actions and for any organisation-level settings, defaults and overrides they apply.
5. Plans, fees and billing
5.1 Free tier. We offer a free tier. You may use it for commercial purposes. We grant this permission for the life of the Service, subject to these Terms.
5.2 Paid plans. Larger organisations may subscribe to tiered paid plans. Plan features and prices are published on our website.
5.3 Monthly billing. Paid plans are billed monthly, in advance. We do not offer annual plans.
5.4 Cancellation. You may cancel at any time. If you cancel, you keep access to your paid plan until the end of the month you have already paid for.
5.5 No refunds. Fees are prepaid and are not refundable, including for part-months, except as required by law (see clause 14).
5.6 Downgrade to free tier. When a paid plan ends, the organisation moves back to the free tier and the Service keeps running. On the free tier, the Service may replace some signatures, chosen at random, with a generic version. A generic signature removes the individual Member's personal details and shows only the organisation's generic details, in the same way as for a former Member.
5.7 Taxes. SigMonster is not currently registered for GST, so our prices do not include GST. If we register, or if other taxes apply (including VAT or sales tax in your jurisdiction), we may add those taxes to our prices after giving notice under clause 5.8.
5.8 Price changes. We may change prices by giving you at least 30 days' notice by email. Changes take effect from your next billing period after the notice period ends.
5.9 Payments are processed by a third-party payment provider. If a payment fails, we may move your account to the free tier.
6. Intellectual property
6.1 Our IP. We own the Service, including our software, branding and stock signature templates. We keep all rights we do not expressly grant to you.
6.2 Stock templates. We grant you a non-exclusive, non-transferable licence to use, clone and modify our stock templates for your own signatures, while you use the Service. You must not sell, sublicense or redistribute stock templates or modified versions of them.
6.3 Your IP. You own the content you provide (such as logos, photos and text) and the templates you create.
6.4 Derived templates. If a template you create is significantly derived from one of our stock templates, our rights in the underlying stock template continue. We grant you a limited licence to use the derived template for your own purposes. That licence does not allow you to sell or commercially redistribute it.
6.5 Licence to us. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, render and display your content, but only as needed to provide, maintain and improve the Service. This includes generating and hosting signature images.
6.6 No publicity. We will not use your name or logo in our marketing without your prior written permission.
6.7 Feedback. If you send us suggestions or feedback, we may use them without any obligation to you.
7. Acceptable use
7.1 You must not use the Service, or any signature created with it, to publish, link to or distribute content that is (including but not limited to):
- (a) spam or unsolicited bulk messages;
- (b) phishing, malware or other deceptive or malicious material;
- (c) impersonation of any person or organisation, or misrepresentation of your affiliation;
- (d) material that infringes another person's intellectual property, privacy or other rights;
- (e) obscene, offensive, pornographic, defamatory, hateful, harassing or threatening material; or
- (f) unlawful material, or material that facilitates unlawful activity.
7.2 You must not interfere with the Service, try to gain unauthorised access to it, or reverse engineer it except as permitted by law.
8. AI agents and automated access
8.1 MCP server and API. The Service includes a Model Context Protocol (MCP) server and other programmatic interfaces that let software, including AI agents and assistants ("Agents"), access and act within the Service on your behalf.
8.2 Your Agents are your responsibility. Any action taken through the Service by an Agent you connect, authorise or allow to use your account or credentials is treated as an action taken by you. You are responsible and liable for those actions as if you had taken them yourself, whether or not you reviewed, intended or expected them.
8.3 Authorisation. You must only connect Agents you are entitled to use, and only grant them access you are entitled to grant. If you are an organisation administrator, you are responsible for Agents acting with your administrative permissions, including changes they make to organisation settings, templates and Members' signatures.
8.4 Credentials and tokens. You must keep access tokens and other credentials issued to Agents secure, and revoke them promptly if you no longer use the Agent or suspect misuse.
8.5 Third-party Agents. Agents and the AI services behind them are third-party services under clause 12 (Third-party services). When you connect an Agent, information from your account may be sent to that Agent and its provider. That transfer is at your direction, and the Agent provider's own terms and privacy policy apply.
8.6 Acceptable use applies. Clause 7 (Acceptable use) applies to everything an Agent does through the Service. We may rate-limit, restrict, suspend or revoke an Agent's access, or yours, under clause 9 (Suspension and termination) if an Agent's activity breaches these Terms or threatens the Service's security, stability or other users.
8.7 No warranty for Agent outcomes. We are not responsible for the output, decisions or actions of any Agent, or for any loss caused by an Agent acting on your behalf, including mistakes, unintended changes or actions outside your instructions.
9. Suspension and termination
9.1 If we reasonably believe you have breached these Terms, we may, at our discretion, suspend or disable all or part of the Service immediately and without prior notice.
9.2 Where a breach can be fixed, we will restore the Service once you have fixed it to our reasonable satisfaction.
9.3 For serious or repeated breaches, we may terminate your account.
9.4 You may close your account at any time.
10. Your data, export and offboarding
10.1 You may ask for an export of your data (such as signatures, templates and member information) at any time while you have an account. We'll provide it in a machine-readable format within one month.
10.2 We aim to make offboarding simple. Retention and deletion are handled under our Privacy Policy, including deletion within 24 hours of a confirmed request.
11. Service availability and changes
11.1 We provide the Service on a best-efforts basis. We do not currently offer any uptime guarantee or service level agreement.
11.2 We may change, add or remove features from time to time.
11.3 If we discontinue the Service, or a paid plan, we will give you at least 90 days' notice.
12. Third-party services
12.1 The Service relies on third-party providers, including email platforms, identity providers, hosting, content delivery, payment and communications services.
12.2 We are not responsible for outages, changes, restrictions or failures in third-party services that affect the Service, including changes to their APIs, platforms or policies.
12.3 Your use of third-party services is also governed by their own terms.
13. Changes to these Terms
13.1 We may change these Terms by giving at least 30 days' notice by email. If you keep using the Service after the change takes effect, you accept the updated Terms. If you do not agree, you may cancel before the change takes effect.
14. Consumer law
14.1 Nothing in these Terms excludes, restricts or modifies any right or remedy, or any guarantee, warranty or other term, that cannot lawfully be excluded, including under the Australian Consumer Law and equivalent consumer protection laws elsewhere.
14.2 Where our liability for breach of such a guarantee can be limited, we limit it, at our option, to supplying the services again or paying the cost of having them supplied again.
15. Disclaimers
15.1 To the extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied.
15.2 You are responsible for the content of your signatures and for how you use them.
16. Limitation of liability
16.1 To the extent permitted by law, SigMonster's total liability arising out of or in connection with these Terms or the Service is limited to the total fees you paid us in the 12 months before the event giving rise to the claim, or AUD $100 if you have paid us nothing in that period.
16.2 To the extent permitted by law, we are not liable for any indirect or consequential loss, or for loss of profits, revenue, data or goodwill.
17. Indemnity
17.1 You indemnify us against claims by third parties arising from your content, your breach of these Terms, the actions of any Agent acting on your behalf, or, for organisations, a failure to have the authority or consent described in clause 4.
18. Disputes
18.1 Before starting court proceedings (except for urgent interim relief), a party must give the other written notice of the dispute. Both parties must then try in good faith to resolve it by negotiation for at least 30 days.
18.2 If the dispute is not resolved, either party may start proceedings under clause 19.
19. Governing law
19.1 These Terms are governed by the laws of Queensland, Australia. Each party submits to the non-exclusive jurisdiction of the courts of Queensland, without limiting any mandatory consumer rights you may have where you live.
20. General
20.1 If any part of these Terms is unenforceable, the rest continues to apply.
20.2 A failure to enforce a right is not a waiver of it.
20.3 You may not assign your rights under these Terms without our consent. We may assign ours in connection with a sale or restructure of our business, with notice to you.
20.4 These Terms, together with the Privacy Policy and the DPA, are the entire agreement between you and us about the Service.
